To Enter:Watch the Big Game Sunday, February 7, 2010. Access www.a-g.com/superbowl between 9:30 pm ET on February 7,2010 and 10:00am ET on February 8, 2010 (“sweepstakes period”) and complete the on-line registration and multiple choice question survey on Big Game commercials. All entrants must have a valid e-mail address. Limit one (1) entry per person per quarter and per e-mail address. In case of dispute as to identity of the winner who enters, entry will declared made by the registered user (meeting eligibility criteria) of the email account, and if a prize is won,
it will be awarded to that registered user. Automated entries are prohibited, and any use of such automated devices will cause disqualification.
Prizes and odds of winning: One (1) American Express gift card in the amount of Five hundred dollars ($500) will be awarded. Total prize value: $500.Prize is not transferrable and non – refundable except at sole discretion of sponsor. Federal, state and local taxes are the sole responsibility of the winner. Odds of winning will depend on number of eligible entries received.

ELIGIBILITY: The Contest is open only to legal residents of the 50 United States and the District of Columbia (excluding Guam, Puerto Rico, and all other U.S. and foreign territories and possessions) (the “Eligibility Area”) who are 18 years of age or older at the time of entry. Void outside of the Eligibility Area and where otherwise prohibited or restricted by law. Employees of Allen & Gerritsen , their immediate family (i.e., parents and siblings), and members of their households (i.e., spouses, children and anyone living in the household for more than six (6) months in each calendar year) (collectively, "Sponsor") are not eligible. The Contest is subject to all applicable federal, state and local laws and regulations.

Winner selection: Winner will be selected in a random drawing from all eligible entries on or about February 10, 2010. Winner will be notified by phone, e-mail or mail on or about February 10, 2010. The Winner will be required to sign and return an Affidavit of Eligibility & Liability Release, where permitted by law. except as prohibited by applicable law, failure to sign and return these requested documents by the return date specified in the Prize notification letter will result in forfeiture of the Prize and selection of an alternate Winner from the remaining eligible entries.

INTERNET: Sponsor is not responsible for interrupted or unavailable network server, browser, or other connections, miscommunications, failed telephone or computer transmissions or jumbled, scrambled or misdirected entries or transmissions, or for phone, electrical, network, computer hardware or software or program malfunctions, failures or difficulties or for other errors, omissions, interruptions, or deletions of any kind whether human, mechanical or electronic or for any damage to any person's computer related to participating in the sweepstakes. Sponsor is not responsible for illegible, unintelligible, late, lost or stolen entries or Essays or incorrect or inaccurate entry information, whether caused by Internet users or by any of the equipment or programming associated with or utilized in the sweepstakes or by any technical or human errors which may occur in the processing of any entries in this sweepstakes Persons found tampering with or abusing any aspect of this promotion, as solely determined by Allen & Gerritsen, will be disqualified and may be subject to prosecution. Any entrant, who attempts to play with multiple e-mail addresses, under multiple identities or uses any device or artifice to play multiple times, will be disqualified from participation in the Contest. If, in the good faith judgment of Allen & Gerritsen , the sweepstakes is compromised by virus, bugs, non-authorized human intervention or other causes beyond the control of Allen & Gerritsen that corrupts the administration, security, fairness or proper play of the sweepstakes. Allen & Gerritsen reserves the right, in its sole discretion, to discontinue, suspend or terminate the Contest. In the event of any such discontinuation, suspension or termination, the Potential Winner will be selected by the judges from among all eligible entries received by the date of the discontinuance, suspension or termination.

<li>DISPUTES; GOVERNING LAW: The interpretation of these Official Rules shall be governed by the laws of the State of Tennessee. Any and all disputes arising out of or related to this Contest or any Essay will be resolved individually, without resort to class action, in the appropriate courts in Nashville, Tennessee exclusively, and subject to the laws of the State of Tennessee. Should there be a conflict between the laws of the State of Tennessee and any other laws, the conflict will be resolved in favor of the laws of the State of Tennessee.

GENERAL CONDITIONS: By entering, participants agree: (a) that they have read these Official Rules, will be bound by them, and that the decisions of the judges shall be final in all matters pertaining to this Contest; and (b) to indemnify and hold Allen & Gerritsen and Sponsor harmless from and against any and all claims, expenses, and liability arising in whole or in part, directly or indirectly, from the Contest or participation in any Contest-related activity, or resulting from acceptance, possession, use or misuse of the Card. Entry of an Essay into this Contest shall constitute and signify the entrant's agreement and consent that Allen & Gerritsen’s may use the entrant's first name, last name, city, state, and photograph/likeness for promotional purposes worldwide, including on the Internet, without limitation and without further payment or consideration, except where prohibited by law. Where permitted by law, entrants agree to participate in a public relations awards ceremony or event without further payment or consideration should their Essay be chosen as the winner. ANY DELIBERATE ATTEMPT TO DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, O’CHARLEY’S INC. RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW. LIMITATION OF LIABILITY: Allen & Gerstein Sponsor hereby disclaim any and all liability of any kind or nature arising out of or relating to the acceptance, enjoyment, use or misuse of the Card or participation in this Contest, including, but not limited to, any injuries, damages or losses of any kind, whether direct or indirect, whether to property or person, including death. IN NO EVENT WILL Allen & Gerritsen OR ANY SPONSOR BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, DIRECT, INDIRECT, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF THE CONTEST, PARTICIPATION IN THE CONTEST, OR USE OR MISUSE OF THE CARD AWARDED IN CONNECTION WITH THE CONTEST.
